Affiliate Terms and Conditions

1. Agreement and acceptance

These terms are a binding agreement between ADA HERBS LLC (“ADA HERBS”, “we”, “us”) and you (the “Member”) for the ADA HERBS Circle affiliate program (the “Program”). You accept these terms when you apply, receive a Code or Link, or take part in the Program in any way. If you do not agree, do not apply or take part.
The Program overview you received is a summary only. If it conflicts with these terms, these terms apply.

2. Definitions

These words have the following meanings in these terms.

Site: adaherbs.com.
Code: the unique discount code we assign to you.
Link: the unique web address we assign to you, which applies your Code and records visits.
Net Order Value: the order subtotal after discounts, excluding shipping, taxes, gift cards, and fees.
Qualifying Order: a paid order on the Site placed with your Code or through your Link that is not excluded under Section 6.
Commission: the percentage of Net Order Value we pay you on a Qualifying Order.
Hold Period: the 30 days after an order is marked complete, during which returns and refunds can still happen.
Assets: the photos, text, guides, and other materials we give you for the Program.

3. Eligibility and approval

Membership is by invitation and application, and we decide who joins. To apply, you must:

Be at least 18 years old and live in the United States.
Be able to give us a US taxpayer identification number on a W-9 form.
Give us accurate and complete information, and keep it up to date.

We may decline any application without giving a reason. We may also withdraw approval at any time under Section 14. Membership is personal to you. You may not transfer it, share your Code or Link account, or let anyone else act as a Member under your name.

4. Independent relationship

You are an independent participant, not our employee, agent, partner, or joint venturer. You decide how, when, and whether to promote ADA HERBS, and you use your own tools and time. You have no authority to make promises, sign contracts, or speak for ADA HERBS. We may run other affiliate programs and work with other people, and you may promote other brands, as long as you follow these terms.

5. How the Program works

After approval, we give you a Code, a Link, and a starter kit.

Customer discount: Your Code gives customers 10% off their order. We may change this discount under Section 15.
No stacking: Only one code can be used per order. Your Code cannot be combined with any other code or offer, including welcome and quiz offers.
Personal purchase discount: You receive a separate code for your own orders at 20% off. It is for personal use only; it cannot be resold, and we may limit the amount you can buy in a period.
Gifted products and samples: Products we send are for your personal use and honest opinion. You are never required to post about them. Their value may count as taxable income to you (see Section 8).

6. Commissions

You earn 20% of the Net Order Value of each Qualifying Order. Commission is calculated after the customer discount and does not include shipping or taxes.

The following are not Qualifying Orders, and earn no Commission:

Orders placed by you, or by anyone in your household, or by a business you own or work for.
Orders that are cancelled, refunded, returned, charged back, or not paid in full. Partial refunds reduce Commission in proportion.
Orders that use a code other than your Code at checkout.
Gift card purchases, and wholesale or bulk orders that we identify as made for resale.
Orders we reasonably believe are fraudulent, artificial, or placed in breach of these terms.
Orders placed before your approval date or after your membership ends.

We may change the Commission rate by giving notice under Section 15. A new rate applies only to orders placed after it takes effect.

7. Tracking and attribution

An order is credited to you when your Code is used at checkout, or when the customer buys within 30 days of clicking your Link.

One Member per order. Each order earns Commission for only one Member. If a customer clicks one Member’s Link and uses another Member’s Code, the Code used at checkout is credited.
Our records decide. Our order and tracking records are final. We may correct errors at any time.
No guarantee of tracking. Browsers, devices, and privacy settings can stop a visit from being recorded. We are not responsible for sales we cannot track.
Orders by phone, email, or in person are not tracked unless the customer uses your Code.

8. Payments and taxes

We pay Commission once a month for Qualifying Orders whose Hold Period ended during the previous month.

Minimum. We pay when your balance reaches $30. Smaller balances carry over to the next month.
Method. We pay by PayPal, Zelle, or bank transfer. You are responsible for giving us correct payment details and for any fees your payment provider charges you.
Reversals. If we pay Commission on an order that is later refunded, returned, or found to be non-qualifying, we may deduct it from future payments or ask you to repay it.
Tax form. You must give us a completed W-9 before your first payout. We may hold payments until we receive it.
Tax reporting. If your payments in a calendar year reach the IRS reporting threshold, we will report them on Form 1099-NEC and send you a copy. We may report the value of gifted products if the law requires it.
Your taxes. You are responsible for all taxes on what you earn or receive through the Program. We do not withhold taxes, except where the law requires it.

9. Advertising rules and disclosure

You must tell people clearly that you earn a benefit from ADA HERBS whenever you recommend it. This is required by the FTC Endorsement Guides (16 C.F.R. Part 255) and the rules of each platform you use.

Make it easy to see. Put the disclosure next to the recommendation, in plain words such as “I’m an ADA HERBS affiliate and earn a commission.” Do not hide it in a bio, a link, or a pile of hashtags.
Match the format. In a video, say it and show it. In a message or conversation, say it when you recommend. Disclose again each time, not only once.
Be honest. Share only your real experience with products you have actually used. Do not post fake reviews or ask others to.
Follow platform rules. Use each platform’s own tools for paid or affiliate content where they exist.

We may ask you to edit or remove content that does not follow these rules, and you must do so promptly.

10. Product claims

You may describe our products only in the ways set out in the claims guide in your starter kit, as we update it.

No medical claims. Do not say or imply that a product treats, cures, prevents, or heals any disease or skin or scalp condition, or changes how the body works.
No promised results. Do not guarantee results or timelines. Say that results vary.
No false comparisons. Do not criticize or compare competitors’ products.
Certifications. Describe our COSMOS Organic ECOCERT certification only as the claims guide does. Do not use certification logos or marks without our written permission.

When unsure, ask us first.

11. Prohibited conduct

You must not do any of the following. Breaking this section can lead to immediate termination and loss of unpaid Commission under Section 14.

Use your own Code or Link on your own orders or on orders for people in your household.
Post, sell, or trade your Code on coupon, deal, or cashback sites, or on public forums.
Run paid search or social ads using our name, trademarks, or misspellings of them.
Send unsolicited bulk emails, texts, or direct messages, or use automated messaging or mass tagging.
Pretend to be ADA HERBS, an employee, or an official spokesperson, or create fake accounts.
Post false, misleading, or deceptive content, including fake reviews or edited before-and-after images.
Post unlawful, hateful, harassing, sexually explicit, or otherwise harmful content alongside our brand.
Direct promotion at children under 13.
Use tricks to create credit for sales, such as cookie stuffing, forced clicks, hidden redirects, fake orders, or automated tools.
Resell products bought with a Member discount.
Offer customers cash, rebates, or gifts from your Commission without our written approval.
Register a domain, social media handle, or business name that uses or resembles ADA HERBS.
Break the law, or the rules of any platform you use.

12. Brand and content rights

ADA HERBS, our logos, and our product names are our trademarks. All rights in them stay with us.

Our Assets. We give you a limited, non-exclusive, non-transferable license to use the Assets only to promote our products under the Program. Do not change our logos or use them in a misleading way. We may withdraw this license at any time.
Your content. You keep ownership of the content you create. You give us a free, non-exclusive, worldwide right to share, repost, and display it, with credit to you, to promote ADA HERBS.
Your responsibility. You confirm that you have the rights to everything in your content, including photos of other people, music, and third-party material.

13. Privacy and customer data

Customer information belongs to us and is handled under our Privacy Policy.

Do not collect, store, or ask for customers’ personal or order information.
Send emails and text messages only to people who have agreed to receive them, and follow the CAN-SPAM Act and the Telephone Consumer Protection Act.
We collect your name, contact details, tax form, and payment details to run the Program, pay you, and meet tax rules. We keep them as long as needed for these purposes and as the law requires.

14. Term and termination

These terms start when we approve you and continue until one of us ends them.

Ending by you. You may leave at any time by emailing us.
Ending by us. We may end your membership, or pause it, at any time. We may do so immediately if you break these terms, act dishonestly, or harm our brand or customers.
Unpaid Commission. After your membership ends, we pay valid Commission on Qualifying Orders completed before the end date, once their Hold Period passes and the minimum is met. If we end your membership for fraud or a breach of Sections 9, 10, or 11, we may cancel unpaid Commission.
What you must do. Stop using your Code, Link, and Assets, and remove our trademarks and Assets from your content when we ask.
What continues. Sections 8, 12, 13, and 16 to 19 continue after the end of these terms.

15. Changes to the Program and these terms

We may update these terms, the Program, the Commission rate, the customer discount, the payout minimum, or the Hold Period at any time. For a material change, we will email you at least 14 days before it takes effect. Changes apply only to orders placed after they take effect. If you keep taking part after a change, you accept it. If you do not agree, you may leave under Section 14.

We may also pause or end the Program at any time, and change or cancel a Code if we see misuse.

16. Disclaimers and limits on liability

The Program is provided “as is”. We do not promise any level of earnings, sales, or traffic, or that tracking, the Site, or payments will always work without interruption. We may change products, prices, and availability at any time.

To the fullest extent the law allows, we are not liable for indirect, incidental, special, or consequential losses, including lost profits. Our total liability to you for any claim related to the Program is limited to the Commission paid or owed to you in the 12 months before the claim arose. Nothing in these terms limits liability that the law does not allow to be limited.

17. Indemnification

You will defend and compensate ADA HERBS, its owners, and its team for any claim, loss, or cost, including reasonable legal fees, that arises from your content, your statements about our products, your breach of these terms, or your breach of the law or of someone else’s rights.

18. Disputes and governing law

These terms are governed by the laws of the State of Pennsylvania and applicable US federal law, without regard to conflict-of-law rules. If a dispute arises, please write to us first and give us 30 days to resolve it informally. If it is not resolved, the courts located in Philadelphia, PA have exclusive jurisdiction, and you agree to their authority.

19. General

Entire agreement. These terms, together with the claims guide and the Program overview, are the entire agreement between us about the Program.
If part is invalid, if a part of these terms cannot be enforced, the rest still applies.
No waiver. If we do not enforce a term, that is not a waiver of it.
No transfer. You may not transfer your rights or duties under these terms. We may transfer ours as part of a sale or reorganization of our business.
Notices. We may send notices to the email address you gave us. You agree to receive them and to sign and accept these terms electronically.
