Reselling Policy
Introduction
At ADA HERBS, we are committed to maintaining the integrity of our brand and ensuring that our products are distributed responsibly. This Reselling Policy outlines the terms under which our products may be resold and the legal implications of unauthorized reselling.
Acknowledgment of Policy
By purchasing any ADA HERBS product, the buyer acknowledges that they have read and understood this Reselling Policy. This acknowledgment is confirmed through the agreement checkbox that must be checked before completing the purchase.
Prohibition of Unauthorized Reselling
Reselling of any ADA HERBS products is strictly prohibited unless explicitly authorized under a legal contract with ADA HERBS. This prohibition applies to all individuals, businesses, and channels, including online platforms, physical stores, and any other means. Unauthorized reselling will be met with legal action, including lawsuits and other severe consequences.
Permitted Reselling
Reselling is only allowed for specific partners—both individuals and businesses—who have an active, written contract with ADA HERBS. These contracts are carefully negotiated and outline all terms, including but not limited to pricing, customization, and product bundling. All allowed resellers must sign an agreement, and compliance is monitored through receipts and other methods specified in the contract.
No Geographical Restrictions
There are no geographical restrictions on where our products may be resold by authorized partners. However, the terms of the contract must be adhered to regardless of location.
Returns, Warranties, and Liabilities
Returns, warranties, and any product-related issues are the responsibility of the seller from whom the product was purchased. Each seller is responsible for ensuring that the product is in the condition specified in the contract at the time of sale. ADA HERBS is not liable for any issues arising from the resale of products outside of these terms.
Penalties for Unauthorized Reselling
Reimbursement and Legal Penalties: Any unauthorized seller found reselling ADA HERBS products will be required to register all previously sold products with corresponding receipts. As part of the penalty, the unauthorized seller must reimburse ADA HERBS for all sold amounts, plus any legal fines decided by the lawsuit. Additionally, all attorney fees incurred during the filing and processing of the lawsuit will be the responsibility of the unauthorized seller.
Third-Party Responsibility: If the unauthorized reseller uses third-party entities, such as e-commerce websites or physical stores, these entities will also be held responsible. They will be subject to penalties for failing to contact ADA HERBS directly or for approving the reseller without proper confirmation steps. These penalties will be pursued through legal action if necessary.
Enforcement and Penalties for Authorized Resellers
For resellers under contract, any violations of this policy will be subject to the penalties outlined in the contract, which have been agreed upon by both parties.
